LICENSING OPTIONS
Phillip Nathan Murphree P/K/A Rock It Productions (Licensor) grants to ________________________ (Licensee) the non-exclusive rights to use the copyrighted musical composition entitled:
“BEAT TITLE” (the “Composition”)
1. Master Use. Licensor hereby grants to Licensee a non-exclusive license (this “License”) to record one (1) vocal synchronization to the “Composition” partly or in its entirety and substantially in its original form (the “Master Recording”).
2. Mechanical Rights. This license allows use of “Master Recording” in the reproduction, duplication, manufacture, and distribution of phonograph records, cassette tapes, CD’s, internet downloads, and any other form of audio and digital recordings worldwide for up to a pressing or selling a total of 2,000 copies of such Recordings or any combination of such Recordings, conditioned upon the payment to Licensor a sum of $24.99 US Dollars. Licensee is also permitted to distribute unlimited copies of “Master Recording” for non-profit and non-commercial use.
3. Audio Streaming Rights. This license allows 250,000 Monetized Audio Streams with “Master Recording” on audio streaming platforms such as Spotify, Apple Music, Amazon Music, and any other audio streaming platform.
4. Performance Rights. Licensee may perform “Master Recording” in for-profit, public performances for up to a personal profit of $1,000 US Dollars. Licensee is also permitted to perform “Master Recording” in unlimited non-profit and non-commercial performances.
5. Radio Broadcast Rights. This license allows “Master Recording” to be broadcasted and/or aired on One (1) Radio Station (terrestrial, satellite, internet, and any other format of radio broadcast).
6. Internet Video & Monetization. Licensee is allowed to copy, perform, edit, and/or loop portions of the “Composition” and/or “Master Recording” for One (1) Online Video Purpose and shall be permitted to post the video on unlimited video streaming platforms such as YouTube, Vimeo, Instagram, Facebook, and any other video streaming platform. This license allows 500,000 Non-Monetized Video Views. For monetized video views an Unlimited License is required.
7. Synchronization License. Licensee may have “Master Recording” placed in any publicly broadcasted instances (“Placements”) such as, but not limited to, television, motion picture film, soundtrack, DVD, multimedia game, movie trailer, tv advertisement, and any other broadcasted instance. Licensee agrees that Licensor is to be registered alongside Licensee on cue sheets and with relevant performance rights organizations and collection agencies with the same details and percentages/splits stated in section #8 PRO Registration of this agreement. Licensor is also entitled to 50% of all upfront synch fees, compensations, payments, and any other upfront monies paid to Licensee for “Placements”.
8. PRO Registration. Licensee agrees to register the “Master Recording” with relevant performance rights organizations (e.g., ASCAP, BMI, SESAC, etc.) and other collection agencies with Licensor owning the following percentages:
a. 50% of the total publisher’s share under Rock It Productions (ASCAP IPI # 717281738)
b. 50% of the total writer’s share under Phillip Nathan Murphree (ASCAP IPI # 348487127)
If Licensee is unable to register the “Master Recording”, Licensee is required to contact Licensor who will have the right to register the “Master Recording” on behalf of both parties.
9. Content ID. Licensee is expressly prohibited from registering and/or submitting the “Master Recording” or “Composition” into any content identification system (for example, without limitation, YouTube Content ID) whether directly or through a third party such as AdRev, TuneCore, CDBaby, DistroKid, or any other third party that offers the service of automatically monetizing other music/audio/video across the internet that use the same “Composition” and/or “Master Recording”.
10. Credit. Licensee has the right to use and permit others to use Licensor’s approved name Rock It Productions for purposes of the “Master Recording”, but solely in connection with uses of the “Master Recording”. Licensee shall acknowledge the original authorship of the “Composition” appropriately and reasonably in all media and performance formats under the name Rock It Productions in any and all metadata, liner notes, and/or other customary places for such credits in connection with all exploitations of the “Master Recording”. In the event of any failure to have Licensor properly credited, you will use reasonable efforts to cure such failure immediately on a prospective basis.
11. Licensing Fee. In consideration for the rights granted under this agreement, Licensee shall pay to licensor a licensing fee in the sum of $24.99 US Dollars. If Licensee fails to account to the Licensor, timely complete the payments provided for hereunder, perform its other obligations hereunder, or submits a chargeback of the licensing fee through their credit card company, PayPal, or any other payment merchant, this license will be terminated immediately without refund. Such termination shall render the recording, manufacture and/or distribution of Recordings for which monies have not been paid subject to and actionable infringements under applicable law, including, without limitation, the United States Copyright Act, as amended.
12. Breach of Agreement. If you fail to cure any breach of this license agreement within thirty (30) business days of Licensor providing you with written notice of a breach, Licensor will have the right to immediately terminate this agreement, and if Licensor notifies you of such termination, you will have no further right to use the “Composition” and/or “Master Recording” and must immediately cause any recording(s) and/or video(s) to be no longer available to the public. If you use the “Composition” and/or “Master Recording” in a manner not expressly permitted in this agreement, you agree to pay Licensor any and all amounts previously or thereafter collected, received, or credited to you or any third party in connection with such exploitation of the “Composition” and/or “Master Recording”.
13. Indemnification. Accordingly, Licensee agrees to indemnify and hold Licensor harmless from and against any and all claims, losses, damages, costs, expenses, including, without limitation, reasonable attorney’s fees, arising of or resulting from a claimed breach of any of Licensee’s representations, warranties or agreements hereunder.
14. Miscellaneous. Licensor warrants that it is and shall remain the sole owner and holder of all right, title, and interest in the “Composition”, including all copyrights to and in the sound recording and the underlying musical compositions written and composed by Licensor. You may not register or attempt to register (or permit the registration or attempted registration)of the “Composition” with the U.S. Copyright Office. You may own a copyright to the extent of your contributions embodied in the “Master Recording” (e.g., your topline lyrics, melody, and/or other new instrumental elements), but any registration or claim of copyright as to the “Master Recording” must be as a derivative work disclaiming any ownership to the copyright(s)in the “Composition”. This license is non-refundable and non-transferable and is limited to the “Composition” specified in this agreement, you may not sell, loan, rent, lease, assign, or transfer any of the products sold under Rock It Productions to another user unless written permission by Rock It Productions is given. This License is governed by and shall be construed under the law of the State of Alabama, United States of America, without regard to the conflicts of laws principles thereof.
15. Effective Date. This agreement shall be deemed effective (the “Effective Date”) upon the purchase date of the “Composition” which can be confirmed by the transaction date on the payment merchant’s website Licensee used to purchase the “Composition”. The transaction receipt can be provided as proof of the purchase and proof of the “Effective Date” of this agreement.
Purchasing a non-exclusive Basic License allows you to record a song over the licensed beat and grants you the following rights with your recorded song:
- Sell up to 2,000 copies of your song through CD sales and internet downloads.
- 250,000 monetized audio streams on apps such as Spotify, Apple Music, Amazon Music, etc.
- 1 online video usage on video streaming websites such as YouTube, Vimeo, etc.
- 500,000 non-monetized video views (you are not allowed to monetize your video or join the YouTube Content ID program).
- Radio broadcasting rights (1 radio station).
- $1,000 allowed profit from live performances.

What if someone buys Exclusive Rights after I purchased a license?
As long as you licensed your beat before the Exclusive Rights were sold, all of your rights remain intact as described in your contract.
Does my license ever run out or expire?
No. There are no time limits or time restrictions on our licenses. Once you license a beat, you own a license to that beat for life.
I received a copyright claim on my YouTube video
When you upload a video to YouTube using one of our beats, you may receive a copyright claim from “HAAWK” and “RockItPro” stating that your video contains copyrighted material, this is normal and there’s no need to be alarmed. Your video will not be removed and your YouTube account will not be penalized, taken down, or receive a copyright strike.
If the copyright claim on your video is NOT from “HAAWK” and “RockItPro” please Contact Us and let us know what company and/or artist is claiming your video.
To remove a claim and monetize your video on YouTube you’ll need to purchase an Unlimited License ($99.99) to the beat. An Unlimited License allows video monetization, a Basic License or Premium License does not. If you’ve already purchased an Unlimited License and received a copyright claim on your video, please Contact Us with the claim details and your YouTube video link and we’ll get the claim removed from your video so you can monetize it.
